Terms of Service

1. Parties

These Terms constitute a binding agreement between you ("User," "you") and Sergio Hidalgo Robles, individual software developer, reachable atsergio.hidalgorobles@gmail.com.

2. Description of Service

Inventario is a cloud-based inventory management SaaS application for mobile devices (iOS and Android). It provides product cataloging, stock movement tracking, multi-location inventory, barcode scanning, team role management, and PDF report generation.

3. Acceptance of Terms

By creating an account, downloading the app, or accessing the Service you confirm that (a) you are at least 18 years old, (b) you have the legal authority to enter into this agreement, and (c) you accept these Terms in full. If you do not agree, do not use the Service.

4. Subscription Plans and Billing

The following subscription plans are available, billed in USD:

All subscriptions are billed monthly in advance through Apple App Store or Google Play. A 14-day free trial is available for new accounts. You will be charged the applicable plan price at the end of the trial unless cancelled before the trial period expires.

5. Auto-Renewal and Cancellation

Subscriptions renew automatically each billing period unless cancelled at least 24 hours before the renewal date. You may cancel at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current paid period; no partial refunds are issued for unused time.

6. Refund Policy

All purchases are processed by Apple App Store or Google Play and are subject to their respective refund policies. The Provider does not process refunds directly. If you believe you are entitled to a refund, contact Apple Support or Google Play Support. We will cooperate with platform refund requests for new subscribers within the first 7 days of initial purchase.

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or distribute access to the Service without authorization.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to other users' accounts or data.
• Upload or transmit content that infringes third-party intellectual property rights.
• Introduce malicious code, automated bots, or scrapers that impose an unreasonable burden on the infrastructure.

8. User Obligations

You are responsible for:

• Maintaining the security and confidentiality of your account credentials.
• All activity that occurs under your account, including actions by invited team members.
• Ensuring that all team members under your organization comply with these Terms.
• Keeping your contact and billing information accurate and current.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance that temporarily affects availability will be announced in advance via email or in-app notification where reasonably practicable. The Provider reserves the right to modify, suspend, or discontinue any feature of the Service with reasonable prior notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS.

THE PROVIDER'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Intellectual Property

The Service and all its components — including source code, design, trademarks, and content — are owned by Sergio Hidalgo Robles and protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to use the Provider's trademarks or proprietary marks without prior written consent.

Data you input into the Service (products, inventory records, and related content) remains your property. You grant the Provider a limited, worldwide license to process that data solely to provide the Service.

12. Account Suspension and Termination

The Provider may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or create legal liability. In non-emergency cases, we will provide at least 72 hours' notice via email. Upon termination you may export your data within 30 days, after which it will be deleted in accordance with our Privacy Policy.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you at least 30 days before material changes take effect via email to your registered address. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles. Any dispute that cannot be resolved informally within 30 days shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted remotely in English. Either party may also bring claims in a small-claims court for disputes within the applicable jurisdictional limits.

Class Action Waiver: Any arbitration or court proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action.
